CybrogenIT Confidentiality and Client Name Use Agreement

Last updated: April 5, 2024 9:06 AM

1. Purpose

CybrogenIT (“we,” “our,” “us”) is committed to protecting the privacy and reputational interests of our clients. Because many of the organizations we work with have experienced a cybersecurity incident or data breach before engaging our services, we maintain strict confidentiality regarding all client identities unless express written permission is granted.

This Agreement sets forth how we handle client information and under what conditions we may use a client’s name in marketing, case studies, or testimonials. It also includes a liability waiver to protect CybrogenIT from any legal claims arising from the disclosure of a client’s name when that disclosure is made with the client’s prior written approval.

By signing the quote and making a payment to services, the client agrees to the following:

2. Confidentiality Commitment

  • We will not publicly disclose your company name or any identifying details about your business, breach, systems, or internal processes without your prior written authorization.

  • In case studies, testimonials, and all marketing material, we will refer to you only in anonymized form, such as:

    • “Healthcare Provider in Florida”

    • “Construction Firm in Texas”

    • “Law Firm in California”

  • This anonymized structure protects your organization from reputational damage and avoids triggering further regulatory review, penalties, or lawsuits.

3. Use of Company Name (Optional and Consent-Based)

If you agree to let us use your company’s name, logo, testimonial, or project details in our marketing materials or case studies:

  • You must sign a separate waiver, granting CybrogenIT the right to use your name and related materials.

  • This waiver will include a release of liability, meaning you agree not to hold CybrogenIT responsible for any legal, reputational, or regulatory consequences resulting from our use of your name.

The waiver will be:

  • Limited in scope to the exact use specified (e.g., “use of company name on our website’s ‘Clients’ section”).

  • Revocable at any time with 30 days’ written notice.

  • Subject to final review and written approval before any public use.

4. No Liability for Breach Disclosure Consequences

Clients who grant permission for name usage agree that:

  • CybrogenIT is not liable for any investigations, fines, lawsuits, or loss of business that may arise after the name is published.

  • The waiver of liability applies whether or not the breach was disclosed in our materials.

  • The client has had the opportunity to consult with legal counsel before agreeing to the release.

5. Mutual Confidentiality

Both parties agree not to disclose confidential information shared during the engagement. “Confidential information” includes, but is not limited to:

  • Business operations

  • Breach data or details

  • Internal reports or findings

  • Technology stack or infrastructure

  • Employee or customer data

This clause survives termination of our relationship for five (5) years after the end of service.

6. Legal Protection

  • This Agreement is governed by the laws of the State of Florida, without regard to conflict of law principles.

  • Any disputes shall be resolved in a court of competent jurisdiction in Hillsborough County, Florida.

  • If any provision of this Agreement is found unenforceable, the remaining terms shall remain in effect.

7. Digital Acceptance

By continuing to use CybrogenIT’s services, or by signing any agreement with us, you agree to the terms above. If you wish to grant permission for name usage, you must sign a separate waiver form, which can be requested from your account manager.
